Mr.Zhang Guanghua, due to Mr.Ma Weihua’s leaving his post, took over the former as Chairman of the Board of Cigna & CMB;and he concurrently serves as Vice President of the Board of CMB [-0.74% Funds Research Report], Chairman of China Merchants Bank, and Chairman of the Board of CMB Financial Leasing.Behind a series of personnel changes, CMB is accelerating its implementation of integrated management strategy.9月11日，张光华接受记者采访时表示，“招行这几年一直在探讨综合化经营，未来还要探讨，尤其侧重服务这些，怎么样利用招行的渠道、招行的客户、招行的服务、实质综合起来就是适应整个市场结构变化，经济发展需要，为客户提供更便捷多元化的服务。”

changes in the whole market structure and economic development needs so as to provide customers with more convenient and diversified services.坐言起行。8月21日，招商银行获准受让荷兰投资公司（ING Aet Management B.V.）持有的招商基金21.6%的股权，受让后招商银行合计持有招商基金55%的股权。招商银行表示，增持招商基金股权并成为其控股股东，有利于推进招商银行综合化经营平台建设和经营战略转型进程。

approval to acquire a 21.6% stake in China Merchants Fund from the proposed transferee Dutch investment(ING Aet Management B.V.)that held these shares.After the
transaction is completed, the bank will hold 55% of the shares of China Merchants Fund.The CMB expreed that it has increased its stock holdings of CMB Fund and become the controlling shareholder of CMB Fund, thereby making CMB conducive to promoting the building of an integrated management platform and operating strategic transformation proce.本次交易完成后，招商银行也将成为国内首家突破49%大限，获得基金公司控股权的商业银行。招商银行一直以零售业务著称，此次控股招商基金后，更有利于招商银行共享其高端客户。
After completion of this transaction, CMB will become the first domestic bank to break through the 49% limit.CMB has been known for its retail busine.CMB’s becoming the controlling shareholder of CMB Fund helps greatly it share its high-end customers.当然，招商银行金融版图整合并不仅于此。早在3月28日，招商银行获准受让深圳市鼎尊投资咨询有限公司持有的招商信诺50%股权。“招商信诺成立十年了，在这十年中，尽管股权没在招商银行，但是招商银行在合作和管理上一直在进行，招行一直在寻找正式股权变更的时间，银监会、保监会都已经正式批准。”张光华告诉记者。

been looking for a formal change in shareholding.By now, we have obtained the approval by the CBRC and CIRC.“ Zhang Guanghua told the reporter.招商信诺成立之初，当时商业银行法不允许商业银行成立保险公司。故此，招商银行并不持有招商信诺股权。然而，招商信诺却和招行银行合作，成立之初也由马蔚华执掌。At the beginning of establishment, it was impoible to set up any insurer under the
commercial banking law then, so the CMB did not hold Cigna & CMB’s shares.Even so, Cigna & CMB’s cooperation with CMB has been never uninterrupted, during which was under Ma Weihua’s control then.随着招商银行受让鼎尊投资持有招商信诺的股份，“股权清晰对招商信诺业务的发展、投入都起着重要作用，从股东角度来讲，招商银行更加全力支持招商信诺业务发展。”张光华称。
“With CMB’s acquisition of Dingzun Shenzhen Investment Advisory Co., Ltd.’s shares in Cigna & CMB, such a change to equity will play an important role in both busine growth and input of Cigna & CMB.The CMB as a shareholder of Cigna & CMB will give full support to Cigna & CMB’s future development.” Said Zhang Guanghua.8月17日，招商银行董事会同意在2013年~2015年向招商信诺增资总计不超过4.75亿元，增资安排暂定为：2013年增资1.5亿元、2014年增资2.25亿元、2015年增资1亿元。本次增资将由招商信诺双方股东按照原持股比例同等增资，意味着外方股东也要增资
4.75亿元。
On August 17 2013, the CMB’s Board agreed that an additional capital of le than 475 million yuan will be invested in Cigna & CMB’s further development from 2013 to 2015, i.e.￥150 million in 2013，￥225 million in 2014 and ￥100 million in 2015, respectively.The capital increase will be completed by Cigna & CMB’s shareholders in their original proportions.This means that the foreign shareholder will increase its capital by 475 million yuan.招商信诺总经理兼首席执行官孙勇告诉记者，“以内生资本来维持公司未来的发展，我们觉得还是不够的。我们下一个十年要加速发展，提高规模，这种情况下，要寻求双方股东的支持。所以董事会批准，双方股东支持，未来三年双方股东对招商信诺增资9.5亿。” Sun Yong, GM & CEO of Cigna & CMB, told the Reporter that “it is not easy to sustain our future development with our own existing capital.We would like to seek the support from shareholders in the next 10 years for our further expansion/scale increase.Therefore, the
Board has approved both sides’ shareholders’ s capital increase program of RMB950 million for Cigna & CMB in three years to come.资金支持只是一方面。张光华表示，“招商银行普卡、金卡、金葵花、私人银行等不同层级的客户对保险有不同层级的需求，而且他们对保险的需求逐渐增加。另外中国经济的发展，招商银行业务发展已经开始转型，零售越来越强大，这都是我们做好保险的基础平台。”
