(小四宋体,1.5倍行距,字数控制在300-350之间)内部人控制问题引起了经济理论界和社会各界的广泛关注,其中,马歇尔是最早研究公司内部人控制的经济学家之一。内部人控制是国有企业改革中面临的突出而又复杂的难题,有所谓“事实上”控制和“法律上”控制之分,会导致企业的外部控制和影响企业治理效率,还可导致经理人与投资人目标发生偏差,使企业陷入各利益群体的冲突之中,丧失技术进步的推动力,致使公司效益低下。只有构建科学有效的代理人约束机制,才能从根本上解决内部人控制问题,提高公司治理效率。而公司要建立完善的委托——代理制度,必须设计出一套对代理人行之有效的激励与约束机制,约束代理人行为,降低代理成本,提高代理效率。

民营企业家的素质直接决定民营企业的发展规模,对民营企业进一步发展起到关键作用。但我国民营企业家的素质现状存在着诚信意识不够、对环境洞察与适应的不足、缺乏有效的风险规避能力、个人修养与管理技能有待加强等方面的问题。由于受到文化、政策、市场、管理等因素的制约,我国民营企业家的素质一直难以提高。民营企业的进一步发展、我国加人WTO需要、提高企业竞争力都迫切要求民营企业家的素质必须进一步提高。民营企业家应当具备目标持久、专一,强烈的成就感,追求卓越的欲望,不满足现状,有危机意识和风险意识,遵纪守法和恪守职业道德等基本素质。针对我国民营企业家多为回城知青、下海干部(工职人员)、科技人员、部队转业军人、国有企业人员、海归派等背景特点,需要我们从营造良好的社会环境、健全培训机制、完善人才政策、建立企业家市场、建立现代企业制度等多方面采取措施以提高民营企业家的素质。
