The above cargo was shipped on the above veel by[ insert name of shipper ] and consigned to [ insert name of consignee or party to whose order the bills of lading are made out, as appropriate ] for delivery at the port of [ insert name of discharging port stated in the bills of lading ]but the bills of lading have been mied and we, [ insert name of party requesting re-iue ], hereby request you to re-iue the bill of lading for the said cargo.In consideration of your complying with our above request, we hereby agree as follows:
1.To indemnify you, your servants and agents and to hold all of you harmle in respect of any liability, lo, damage or expense of whatsoever nature which you may sustain in connection of the bill lading as aforesaid and/or by reason of re-iue of the bill of lading in accordance with our request.2.In the event of any proceedings being commenced against you or any of your servants or agents in connection with the bill of lading as aforesaid, to provide you or them on demand with sufficient funds to defend the same.3.If, in connection with the bill of lading as aforesaid, the veel or any other veel or property belonging to you should be arrested or detained or if the arrest of detention thereof should be threatened, to provide on demand such bail or other security as may be required to prevent such arrest or detention or to secure the release of such veel or property and to indemnify you in respect of any liability, lo, damage or expense caused by such arrest or detention or threatened arrest or detention, whether or not such arrest or detention or threatened arrest or detention may be justified.4.As soon as original bills of lading as aforesaid shall have come into our poeion, to deliver the same to you, whereupon our liability hereunder shall cease.5.The liability of each every person under this indemnity shall be joint and several and shall not be conditional upon your proceeding first against any person, whether or not such person is party to or liable under this indemnity.6.This indemnity shall be governed by and construed in accordance with the Laws of China and each and every person liable under this indemnity shall at your request submit to the jurisdiction of Court.Yours faithfully

我们，托运人（全称）已安排上述货物由上述船舶承运发往我司，请贵司按照我司的要求将货物放给下列收货人（全称、联系方式）
考虑到贵司接受我司上述请求，我司同意如下：
1、赔偿并承担贵司以及贵司雇员和代理因此承担的一切责任和遭受的一切损失；
2、若贵司或贵司雇员或代理因此被起诉，我司将随时提供足够的法律费用；
3、若贵司船舶或财产因此被扣押或羁留或遭如此威胁，我司将提供所需的保释金或其它担保以解除或阻止前述扣押或羁留，并赔偿贵司由此所受一切损失、损害或费用；
4、由于我司已经收到贵司签发的正本提单并将该提单交付贵司，我司同意将提单中的所有条款（包括所有背面条款以及管辖权及法律适用条款）作为我司与贵司签订的运输合同的一部分。
5、如我司在该保函中指定的收货人无法联系，拒绝提货或在货物到卸货之日内15日内没有提货，我司同意贵司可在任何时间出售或处理该货物，我司同意赔偿贵司因出售或处理该货物所遭受的任何损失或承担的任何责任。
6、我司以及我司担保银行在本协议中负连带责任，无论贵司起诉其中的任何一方；
7、本保函适用中国法律并接受天津海事法院管辖。
