NOW THEREFORE, if the Principal(Contractor)shall well and truly perform and fulfill all the undertakings, covenants, terms and conditions of the said Documents during the original terms of the said Documents and any extensions thereof that may be granted by the Employer, with or without notice to the Guarantor, which notice is, hereby, waived and shall also well and truly perform and fulfill all the undertakings, covenants terms and conditions of the Contract and of any and all modifications of said Documents that may hereafter be made, notice of which modifications to the Guarantor being hereby waived, then, this obligation to be void;otherwise to remain in full force and virtue till all requirements of Clause 30,(141)

Our total liability under this Guarantee is limited to the sum stated above and it is a condition of any liability attaching to us underthisGuarantee thattheclaimfor payment in writing shall be received by us within the validity period of this Guarantee, failing which we shall be discharged of our liability, if any, under this Guarantee.我行在本保证中的全部责任对上述总金额是有限的，我行依据本保证书承担责任，在本保证书有效期内可以书面要求我行支付。如没有在有效期内依据本保证书要求支付，则我行免除责任。

(the Guarantor), waiving all objectionsand defenses under the Contract, do hereby irrevocably and independently guarantee to pay to the Employer without delay upon the Employer's first written demand without cavil or arguments and without requiring the Employer to prove or to show grounds or reasons for such demand any sum or sums up to the amount stated above, against theEmployer's written declaration that the Principal has refused or failed to perform the obligations under the Contract which payment will be effected by the Guarantor to Employer’s designated Bank & Account Number.本行（担保人）放弃一切合同项下的异议和辩护权利。本保函对业主的担保为独立的不可撤销的银行担保。一俟业主提交索赔之书面通知，我行将毫不迟延地支付本保函范围内的索赔额。业主索赔时无需向本行证实其索赔的原因及索赔额的计算方法。不论本保函申请人是否拒绝抑或未能履约，本行都将依据业主索赔要求将索赔之款项划拨到业主的指定银行账户。

for the purpose of identification your written statement must be duly signed and presented through your local bank and your signature(s)on the demand in writing must be verified and authenticated by the presenting bank which must confirm to this effect through authenticated swift(or tested telex)meage to us.为本行能识别贵方的索赔申明，贵方的申明必须正式签字且必须通过贵方本地银行向本行提交。贵方在索赔书上的签名必须经议付银行核查并证实。进行贵方签字鉴证的议付银行必须通过SWIFT码将鉴证信息电传本行。

This Letter of Bank Guarantee shall be invalid after twelve months since its effective date or on the receiving of Warrant Guarantee for Defects Liability Period and the certificate of succeful commiioning, whichever occurs firstly.本保函自其开立生效之日起12个月失效；或本保函自收悉质量保函及正常试运行证书之日失效，具体失效日期取决于以上两条件之一成就之日。

Any demand for payment and documents required under this guarantee must be received by us before its expiry at our addre stated above.Upon expiry please return the original guarantee to us.But this guarantee will become null and void upon expiry whether the original guarantee is returned to us or not.本保函列示的以上书面文件均需在本保函有效期限内送达本行所在地址（见上述地址）。

一俟本保函失效，请将本保函正本寄送本行。但不论本保函正本是否送达本行，本保函均在本保函效期届满之日确定失效。

This guarantee will come into effect from the effective date of letter of credit for US Dollars to Pak.Rs59,587,500/-in favor of and acceptable to the Shaoyang Hengyuan Zijiang Hydroelectric Equipment Co., Ltd and subject to a notice through authenticated swift or tested telex sent by us confirming such date.本保函自收到以邵阳恒远资江水电设备有限公司为受益人的可接受的信用证（该信用证的金额为等值美元的巴基斯坦卢比或）时生效，并经我行通过SWIFT或加押电传确定该保函的生效日期。

PROVIDED ALSO THAT the Employer shall be the sole and final judge for deciding whether the Principal(Contractor)has duly performed his obligations under the Contract or has defaulted in fulfilling said obligations and the Guarantor shall pay without objection any sum or sums up to the amount stated above upon first written demand from the Employer forthwith and without any reference to the Principal or any other person.在决定承包商是否适当履行了合同义务或者在履行上述义务过程中是否不负责任的问题上，业主有唯一的和最终的决定权，保证人应当在收到第一次书面的付款请求后，立刻无条件支付担保总额以内的任何数目货币，而不考虑承包商负责人或者其他任何人。
