1: The JVC shall purchase appropriate comprehensive insurance to cover various kinds of risks as would be usual for a joint venture enterprise engaged in the same type of industry and in manufacturing products similar to the Products including, without limitation, product liability covering the manufacture and supply of the Products and such insurance shall be underwritten by an insurance company registered in the PRC.The types, value and duration of insurance shall be decided by the Board of Directors after discuion with the insurance companies and Party B.合资公司应为其和同行业中生产类似产品的合资企业一样经常会遭受的各种风险购买适当的综合保险，该保险包括但不限于为产品的制造和供给承保的产品责任险。该等保险应该向在中华人民共和国注册的保险公司投保。保险的种类、价值和保期应由董事会在与乙方及保险公司协商之后确定。

合营公司应购买同行业和生产与产品项类似的产品的合营企业通常购买的包含各种险种的综合保险，包含但不限于就生产和供应产品投保的产品责任险。该等保险应向一家在中国注册的保险公司购买。保险的险种、价值和期限应由董事会与保险公司和乙方商讨后决定。The premises, plant, machinery and equipment, raw materials, components and the Products shall be insured by JVC for adequate replacement value against fire, storm, tempest, accident, flood, theft and other risks which may destroy or diminish the value of the Products or which may render the Products unfit for consumption.合资公司应为防范火灾、风暴、暴风雨、事故、洪水、盗窃和毁坏或减少产品价值或知识产品不能被消费的其他风险，为其土地、工厂、机器设备、原材料、零配件和产品投保足够的重制保险。

合营公司应为场地、厂房、机器设备、原材料、部件和产品投保，一旦发生火灾、暴风雨、风暴、事故、水灾、盗窃和可能损害或降低产品的价值或使产品不适于消费的其他风险，保险获得的赔付应足以重置该等财产。

2: Insurance shall, to the extent it is available on premium and terms comparable to those abroad and as required by applicable Chinese law, be obtained in China and such policies will be denominated in Renminbi or foreign currency or both, as appropriate.某一保险如果与国外的同类保险相比，在保费和保险条款方面都可用，并且依照适用的中国法律在国内有此需求，该保险就可以在中国实施，且在适当情况下，该等保险可以用人民币或外汇购买。

如果中国具备与国外保险费和条款项类似的保险，且中国适用法律要求进行保险，则可以在中国投保。保险单根据具体情况应以人民币、外币或两种货币计价。

The Company shall, at its own cost and expense, at all times during operation of the factory and

other facilities and during any construction work take out and maintain full and adequate property

insurance covering the buildings, contents, and other first party risks of the Company as are

customarily insured against in China.合资公司应自费，在其经营工厂或其他的设备，或任何的建筑工程的整个时期内，为其建筑、内部设施和其他的中国习惯上投保的第一方的风险购买足够的财产保险，并按时续保。

公司应在工厂和其他设施营运期间以及工程施工期间，自费购买并保有在中国按惯例应予保

险的，包括公司建筑物、内部设施及其他第一方风险在内的全面和足够的财产保险。The Company shall maintain product liability insurance, third party liability insurance and other

relevant insurance coverage in order to protect the Company, its employees, agents and other

appropriate parties from claims.合资公司应为保护其公司、雇员、代理人或其他有权利要求的各方投保产品责任险、第三者

责任险和其他相关的险种。

公司应保有产品责任险、第三方责任险和其他有关险种，以保护公司、其雇员、代理人及其

他有关方不会成为索赔对象。

3: During the term of this Agreement, Party A shall undertake, renew and maintain for its benefit

and interest, and at its own cost and expense, the following primary insurance policies:

(a)General Public Liability Policy with Party B being named as a co-insured covering all lo,damage or liability incurred or arising from the operation of the Services including, without

limitation, for bodily injury, death or property damage, for an amount not le than

RMB25,000,000 per accident or occurrence;

(b)Employer’s Liability Policy with Party B being named as a co-named in conformity with local

laws and regulations and accepted practice in the PRC;

(c)Property Damage Policy covering its premises against all risks of direct physical lo or

damage from any cause, or if such a policy is not available, against the risks of fire and

aociated risks such as explosion, electrical damage, water damage, riots, strikes, civil

commotion, terrorism, windstorms, hurricanes, cyclones, floods, burglary, theft and other

similar risks;

(d)Property Damage Policy with Party B being named as the sole beneficiary covering lo or

damage to the materials, Products, Bulks Products, Equipment and other property of Party B

as a result of natural disaster or negligence or omiion by Party A;and

(e)Any other insurance policy or policies against such other insurable risks as shall be normal

and customary in the PRC for operation similar to that of Party A, in each case with Party B

named in the policy or a certificate of insurance as lo payee, additional insured, or in such manner as Party B’s insurance company and Party A’s insurance company may agree.Party A shall inform Party B of any change to its insurance policies listed above which would result in a reduced insurance coverage.在本协议的限期内，甲方应为了其自身利益，自己付费，投保并续保下列基础险种：(a)普通公共责任险，该险种将乙方记名为共同投保人，承保范围包括因为执行服务产生的或要遭受的所有损失、损害或责任，包括但不限于人身伤害、死亡或财产损失，每项事故投保的数额不得低于人民币两千五百万（25,000,000）元。

(b)雇主责任险，该保险根据中华人民共和国的法律和法规以及行业惯例将乙方记名为共同

投保人。

(c)财产损失险，该险种承包的范围包括因为任何原因使公司的土地和房产所遭受的任何直

接的物质损失或损害；如果没有该等规定的保险条款，承包的范围即为：火灾和爆炸、由于水和电造成的损害、*、罢工、平民骚乱、恐怖活动、暴风、飓风、龙卷风、洪水、抢劫、盗窃和其他类似的风险；

(d)财产损害险，该险种将以方记名为独自受惠人，承保范围包括因为自然灾害或甲方的疏

忽或遗漏使一方的材料、产品、大宗货物、设备或其他财产遭受的损失或损害，以及(e)任何可以投保的其他险种，该险种在中国在与甲方类似的经营中应是常见的，并作为惯

例的。在每种保险中，将乙方记入保险单，或是保险受益者、追加的被保险人或是经甲、乙双方的保险公司同意的其他方式。

如果上述保险条款有任何变动，并导致保险范围的缩小，甲方应立即通知乙方。在本协议的限期内，甲方应为自身利益自费购买、续买和保持下列主要保险：

(a)一般公众责任险，乙方列为共同被保险人，承保范围为因履行服务而发生的或引起的一

切损失、损害或责任，包括但不限于人身伤害、死亡或财产损坏，保险额为每次事故或时间不少于25,000,000 元人民币；

(b)雇主责任险，乙方列为共同被保险人，此保险应符合中国地方法律法规和普遍接受的惯

例；

(c)财产损害险，保险范围为其场所因任何原因发生直接有形损失或损害的一切风险，若无

此保险单，则为火灾风险和相关风险，如爆炸、电气损害、水损害、*、罢工、平民*、恐怖活动、风暴、飓风、龙卷风、水灾、盗窃和其他类似风险；

(d)财产损害险，乙方列为唯一受益人，保险范围为因自然灾害或甲方的过失或不作为而导

致乙方的原料、产品、散装产品、设备和其他财产损失或损害，以及

(e)为与甲方经营活动相似的、在中国属于正常或惯例的针对其他可以保险的风险的任何其

他保险，在每一险种的保险单或保险证明中，乙方均列为损失赔偿受偿人、附加被保险人、或按乙方的保险公司和甲方的保险公司约定的其他办法执行。

如果以上所列的保险单发生可能导致保险范围的缩小的变化，甲方应通知乙方。

4：Throughout the term of this Agreement, Consultant shall at its own expense, obtain and maintain the following insurance policies:(a)Commercial General Liability insurance, with coverage of not le than US$ 1,000,000 per occurrence and US$ 2,000,000 in the aggregate for bodily injury and property damage,(b)Motor Vehicle Liability insurance for owned, non-owned and hired vehicles, with limits of not le than US$ 1,000,000 combined single limit for bodily injury and property damage,(c)Worker’s Compensation insurance in the amount required by statue for all states in which the project or work is to be performed, and(d)Profeional Liability insurance with limits of not le than US$ 1,000,000 per claim.Consultant will endeavor to notify Client in writing of any material change to its coverage as described herein.Consultant shall furnish certificates of insurance evidencing coverage or other acceptable evidence of self-insurance to Client upon request.在本协议期间，顾问应自费购买并保有下列保险：(a)商业一般责任险，每项的保额不得低于1,000,000美元，人身伤害和财产损失险的保额总和不得低于2,000,000美元；(b)对其使用的车辆，不管是归其所有的，不归其所有的或是租借来的，购买车辆责任险，人身伤害和财产损失的保险额分别不得低于1,000,000美元；(c)工人赔偿险，保额的数量按该工程或工作所在的国家的规定执行；(d)职业责任险，每项保险费不得低于1,000,000美元。如果本条款规定的保险费的数额有任何的实质性的变化，顾问将尽力书面通知客户。如果客户要求，顾问应向其提供证明保险范围的保险证明或其他可以接受的自我保险的证明。

在本协议整个期限内，顾问应自费获得并保持下列各项保险：(a)一般商业责任险，每发生一次事故，保险额不少于1,000,000美元，人身伤害和财产损坏的合计保险额为2,000,000美元；(b)自有、非自用和租用车辆的机动车辆责任险，人身伤害和财产损失合并的一次事故保险额不少于1,000,000美元；(c)工人赔偿保险，保险额应达到开展项目或工作所在州的法定要求；(d)职业责任保险，每项赔付限额不少于1,000,000美元。如果上述保险范围发生任何实质性变化，顾问将尽力以书面形式通知客户。应客户要求，顾问应向其提供证明承保范围的证书或其他可以接受的自保证明。

5：Insurance required under this Agreement shall be:

(a)Commercial General Liability insurance including bodily injury, property damage, personal

injury, advertising injury and products/completed operations, with a limit of not le than US$ 1,000,000 each occurrence and US$ 2,000,000 annual aggregate.(b)Worker’s Compensation and Employer’s Liability insurance covering all persons whom the

Contractor may employ in carrying out the services hereunder.Worker’s Compensation insurance will be in accordance with the Worker’s Compensation Law of the jurisdiction where the work is performed.Employer’s Liability shall be provided with limits of not le

than US$ 500,000 each accident;US$ 500,000 each disease;and US$ 500,000 disease policy limit.(c)Profeional Liability insurance covering the negligent acts, errors or omiions committed by

Consultant pursuant to rendering or failure to render profeional services pursuant to the terms and conditions contained in the contract with limits of not le than US$ 5,000,000 per claim.Prior to the commencement of services hereunder, the Contractor shall furnish Party B with Certificates of Insurance(or evidence of self-insurance)for all insurance required herein.Each insurer must be reasonably acceptable to Party B, and poe a minimum Best’s rating of ‘A-VII’(or equivalent rating agency in the country)and licensed to conduct busine in all states/countries where this Agreement shall apply.本协议要求投保的保险应为：

(a)商业一般责任险，包括人身伤害，财产损失，个人伤害，广告伤害和产品/完全经营，每一事项保额不得低于1,000,000美元，年总保险额不得低于2,000,000美元。

(b)工人赔偿险和雇主责任险，保险范围包括分包商在履行本合同规定的服务是可能雇用的所有人。工人责任险依照工作所在地有管辖权的工人赔偿法执行。雇主责任险每项事故的保险额不得低于500,000美元；每种疾病不得低于500,000美元和500,000美元的疾病赔偿责任限额。

(c)职业责任险，保险范围为顾问依照本合同中包含的条例和条件提供服务时发生的疏忽和

错误行为，或是未能提供服务而形成的不作为，每一单索赔的保险额不得低于5,000,000美元。

在依照本合同制规定开始履行服务之前，顾问应向乙方提供其按照本合同的规定进行投保的保险证明（或是自我保险证明）。每一个保险人应是乙方可以接受的，并拥有最低七级的贝氏信用等级（或该国家内同等的信用等级）并获许在本协议适用的国家内进行经营活动。本协议项下要求的保险应是：

(a)商业一般责任险，保险范围包括身体伤害，财产损害，人身伤害，广告侵害和产品/完成业务保险，每次事故赔偿限额不低于1,000,000美元，每年总计不低于2,000,000美元。(b)员工补偿险和雇主责任险，保险范围包括承包商为提供本协议项下服务可能雇用的所有

人员。员工补偿险将适用工作履行地的员工补偿法。雇主责任险的赔付是：每次事故的补偿限额不低于500,000美元；每次疾病补偿限额不低于500,000美元；以及500,000美元的疾病保险限额。

(c)职业责任险，保险范围为顾问根据合同规定条例款和条件提供专业服务发生的过失行

为、错误或疏漏，或是未能根据合同规定的条款和条件提供专业服务，每项赔付限额不

低于5,000,000美元。

开时提供本协议项下的服务之前，承包人应向乙方提供本协议所要求的一切保险的保险单据（或自行投保的证据）。各保险公司必须能为乙方合理接受，至少达到贝斯特（或国内同等评级机构）评定的“A-VII”等级，并持有适用本协议的所有州/国家颁发的业务许可证。
