MEMORANDUM OF AGREEMENT

协议备忘录

This Agreement and executed by and between： 协议制定和执行者：

ATTY.SAMUEN D.ABLOLA，of legal age，Filipino Citizen，with office addre at 2nd Flr.Primer Build Iba，Zambales，hereinafter referred to as the FIRST PARTY； ATTY.SAMUEN D.ABLOLA，已达法定年龄（成年），菲律宾籍公民，办公室地址为三苗礼士省伊巴市primer building 2楼。在下文中为甲方。

-And-另一方，MR.YE ZHOU，of legal age，Chinese Citizen，President，GEO KING ASLA MINING CORP.，with office addre at Unit 2304，Corporate Center，139 Valero Street，Salcedo Village，Makati City, hereinafter referred to as the SECOND PARTY；

叶舟先生，已达法定年龄（成年），中国籍公民，GEO King 亚洲矿业公司董事长，办公室地址为玛卡蒂，萨塞都，Valero 大街139号，企业联合中心，2304单元。在下文中为乙方。

WITNESSETH：

WHEREAS, the FIRST PARTY

is the owner of a tract of forest land covered by Industrial Management Agreement(IFMA)with an area of 1700 hectares located at Cabangan, Zambales and is engaged in reforestation projects；

鉴于，甲方秉承工业产业森林管理协议，甲方为位于三苗礼士省，卡邦干镇1700公顷森林覆盖面的合法拥有者，并且在从事再植入式森林更新项目；

WHEREAS, the

SECOND PARTY

is engaged in mining operations in Coto，Taltal，Masinloc，Zambales，and is need of timber for its underground mining operations；

鉴于，乙方在从事位于三苗礼士省，马辛洛克镇，科托矿区的矿业开采工作，为了井下顺利开采，现急需配备原木材料；

WHEREAS, the FIRST PARTY

and the SECOND PARTY

agreed on the following terms and conditions，to wit：

鉴于，甲方和乙方在以下条件中已达成共识：

1、That the FIRST PARTY

shall secure a cutting permit from the Department of Environment and Natural Resources for the harvest of woods in its IFMA ares；

1、甲方必须确保在遵守工业产业森林管理协议的前提下，能够从证从环境保护与自然资源当局获得砍伐许可证。

2、That the SECOND PARTY

shall rehabilitate the roads going to/from and within the IFMA area in order to conduct its operations and for the transport of logs and other forest products and，shall provide all the equipments neceary in its operations；

2、乙方必须要改造修理道路，并且在遵守工业产业森林管理协议的前提下来实施原木和其它木材的运输工作，以及在操作过程中提供必要的设备。

3、That the FIRST PARTY

shall be responsible for the replantation and reforestation in the area and shall put up a nursery for re-plantation purposes；

3、甲方必须为重新植树造林负责任，并且为了再植入计划，要在林区设置培育区。

4、That the SECOND PARTY

shall buy/purchase from the FIRST PARTY

thousands of volume of timber and logs needed in its underground mining operations at the price of Php500 per cubic meter；

4、乙方为了满足采矿工作的需要，必须以每立方米500比索的价格大量采购原木及其它木材。（原木按0.7％折算成立方米方木）

5、That the FIRST PARTY

shall provide a lot for the use of the SECOND PARTY

with an area of at least 2 hectares for the establishment of its office and housing for its personnel and for other purposes needed in its operation in the IFMA area；

5、甲方必须提供出至少2公顷的面积，为了人事部门的办公室、住房的建设，以及要满足在操作过程中其它的目的和要求。

6、That the SECOND PARTY

shall pay the FIRST PARTY

the amount of Php 10 Million Pesos upon execution of this agreement intended for the acquisition of cutting permit to be secured from the Department of Environment and Natural Resourcrs Office；

Expenditures neceary to secure permits from other Government Agencies and Local Governments；

reforestation projects；

nurseries within the IFMA ares and，payment of taxes；

6、为了能够从环境保护与自然资源当局获得砍伐许可证，乙方在遵守本协议的基础上需付给甲方1千万比索；用于关于其它政府机构、当地政府、再植树项目、树木培育区、税款这几个方面的必要支出费用。

7、That this agreement will be effective upon signing and is renewable subject to price negotiations and for other terms and conditions as the need may arise。

7、此协议双方签字后立即生效，（此协议的有效期为10年，从签字日期算起。）如以后需求增大，关于木材价位问题，此协议可另行协商签订。
