This irrevocable Agreement is a supplement on commiion of the sale contract(reference No.1008-01,1112-01.1112-02)between Rumit international customer – Aries Dyechem, Aries Organics Pvt.Ltd and Hindprakash, and Chongqing Fuyuan Chemical CO.Ltd whereas Party A and Party B shall abide by the following terms:

1.Commiion amount: The total amount on contract(reference No.1008-01, 1112-01,1112-02)

is USD 101,875.00, among which USD 2,625.00(say two thousand six hundred twenty five US dollars)is the irrevocable commiion to Party A.2.Transaction agreement: During the trasaction(reference No.1008-01,1112-01,1112-02), Party B only contacts Party A, and vise verse, Party B will commit not to contact directly the Party A’s Buyer.3.Commiion remittance: Party B will transfer the said commiion(USD2,625.00)to Party A’s nominated bank account within 3 working days after Party B receives notice from its bank that USD 101,875.00 is settled down by Party A’s customer.4.Work scale: Party A shall provide Party B correct company contacts and bank Account and deal with the end buyer on behalf of Party B.Otherwise, Party B is not responsible for commiion payment.5.Bank charges: All bank charges inside China will be paid by Party B, and inside India will be paid by Party A.6.Arbitration: Any disputes in connection with this Agreement to be settled Amicably shall be referred to the India International Arbitration Center(IIAC).The arbitration fee and other charges shall be borne by the losing party unle otherwise agreed.7.FOR PARTY A
