商品检验 Inspection:

品质/数量/质量以中华人民共和国任一进出口出入境检验检疫局出具证书为准,该证书亦视为买房所交货物的品质/数量/质量的最终依据.Quality, quantity and weight are based on inspection certificates iued by any Entry-Exit Inspection and Quarantine Bureau of the P.R.China and the certificates are final evidence of the quality, quantity and weight of the goods shipped by the seller.如果买方不付款或不收货 If payment of Consignment Refused by the Buyer.如果买方不按期开出本批交易的L/C,卖方有权不经通知解除本合同,并对因此遭受的损失提出索赔,买方须承担合同金额5%违约金,如果买方未接受卖方按本合同装运的货物,卖方有权中止本合同并要求买方赔偿因拒收给卖方造成的损失。

In case the buyer does not open the covering L/C in time, shall the seller reserve the right to rescind this contract without prior notice and lodge a claim against the buyer for 5% of the total contract amount as compensation.If the buyer rejects to accept the goods shipped by the seller in accordance with this contract, the seller could, at its option, terminate this contract and ask the buyer to compensate for all the loes arising from the rejection of the buyer.如买方提出索赔If Claimed by the Buyer.凡属品质异议,须于货到提单指定的目的港之日起30日内提出,并提出有效证明文件；凡属数量、规格异议,须于货到指定的目的港之日起15日内提出,所提任何异议如果属于保险公司、承运人、邮电机构负责的,卖方不负任何责任。

All disputes regarding quality, the seller should be notified by the Buyer within 30 days after the arrival of the destination specified in the B/L;Any disputes regarding the goods quantity and specification, the seller should be notified by the Buyer within 15 days after the arrival of the goods at the destination specified in the B/L, Any disputes involving insurance company, Carrier or post office are not concerned with the seller.不可抗力Force Majeure:

由于不可抗力使卖方不能在合同规定期限内交货或者不能交货,卖方不承担赔偿责任

The seller shall not be held for the responsibility if owing to Force Majeure the delivery is not made or not made within the time stipulated in this contract.仲裁Arbitration
