合同

xx公司(乙方)就乙方向甲方提供人事代理服务事宜订立本合同。双方愿意在平等互利的基础上真诚合作,经协商同意:

一、乙方根据国家有关法律、法规和政策及与甲方的合同约定,向满足条件的甲方雇员,名单

详见附件

(一)(以下简称雇员)提供人事代理服务,乙方将指派固定人员为甲方提供该服务。

二、乙方在收到甲方提供的雇员正式聘用通知后,开始提供上述服务。甲方应敦促雇员在入职

后及时向乙方提交办理社会保险和住房公积金所需的材料。甲方雇员未按时提交办理社会保险和住房公积金所需材料的,乙方不承担由此引起的任何责任。

三、甲方应提前30天将雇员的变动情况书面通知乙方,否则甲方应承担由此产生的相应责任,乙方将按收到甲方书面通知之日计算收费日期。

四、雇员在甲方工作期间,甲方应按约定标准按时向乙方支付相关费用。乙方收到相关费用后

提供当月相关服务。甲方延期、未足额支付相关费用,导致包括但不限于乙方、雇员权益受损时,甲方应承担相应的责任。双方约定:

甲方按月向乙方支付相关费用,金额详见附件

(二),由甲方在每月15日前汇至乙方中国银行账户(中国银行总行营业部 xx公司 美元:00037208091014,人民币:00037208094001)并负担汇费。甲方用其它方式付款时,请附送付款通知书副本。逾期十天甲方按汇款额每天加付0.2%的滞纳费。

乙方将根据附件

(二)制作付款通知并以人民币标示付款数额,如甲方以美元作为付款货币支付乙方相关费用时,甲方应按照付款日中国人民银行公布的人民币和美元的兑换率中间价换算为美元支付。

五、乙方受甲方委托为雇员提供服务,甲方仍是雇员的实际雇用单位。凡涉及劳动争议事宜,应由甲方与雇员双方按中国劳动法有关规定解决。

六、甲乙双方任何一方对涉及雇员人事代理服务事宜(有异议),可向另一方提出书面意见,进行交涉。另一方应在收到书面意见10个工作日内,以书面形式答复。

七、甲乙双方应严格遵守本合同的各项条款,任何一方违约都必须承担责任。

八、甲乙双方均不得向任何第三方泄漏本合同或与本合同有关事宜,政府部门或法律另有要求的除外。

九、本合同在履行中,如中国政府(含所在地方政府)新颁布的有关法律、法规与本合同条款

发生矛盾时,应以新颁布的有关法律、法规为准。

十、如双方属于续签合同,双方之前签订的合同版本于本合同生效之日自动失效。

十一、乙方可提供财务服务、法律服务、社保审计及社保稽查咨询服务、社保补缴服务、退休手

续咨询服务等其他服务,如甲方选择,乙方另行收费。

十二、本合同所涉及的服务费、雇员名单、聘用时间等均在甲方向乙方发出且经乙方确认的书面

通知中体现,此通知书将作为本合同的附件,且与本合同具有同等法律效力。

十三、凡因执行本合同或与本合同有关事项所发生的争执,或发生违约行为,应首先由双方通过

友好方式协商解决。如果不能取得一致协议时,任何一方均有权将争议提交北京仲裁委员会,按照申请仲裁时该会现行有效的仲裁规则进行仲裁。该仲裁裁决是终局的,对双方均

有约束力。合同条款在进行仲裁时,除提交仲裁之部分外,甲乙双方应继续履行其余部分。

十四、本合同自签字之日生效,有效期壹年。在本合同有效期内,甲方欲中止、终止及解除

本合同需提前30天书面通知乙方。本合同期满前30天,甲乙双方均未提出异议,有效期自行延长,延长期限同本合同有效期。

十五、遇有本合同未尽事宜,由甲乙双方通过协商另订补充条款,作为本合同不可分割的组成部

分,且与本合同具有同等效力。

本合同于 二OO七 年十一月一日由甲乙双方代表在北京签字。合同用中英文写成,双方各执中英文文本一份,当两文本有不符之处,应以中文文本为准。

以上人员均应享受和履行A 07 445FS1合同中规定的权利和义务。

All the above-mentioned employees will enjoy and aume all the rights and obligations as stipulated in.CONTRACT

This Contract is entered into by and between(hereinafter referred to as Party A)and(hereinafter referred to as Party B)with regard to HR Profeional Services provided by Party B to Party A.The parties agree to conduct a sincere cooperation on the basis of equality and mutual benefits, and have reached the following terms and conditions through mutual consultations:

1.At the request of Party A, Party B will provide HR Profeional Services to qualified employees of Party A

(hereinafter referred to as the Employee)in accordance with this contract, and, laws and regulations of the People’s Republic of China(hereinafter referred to as PRC).2.Party B will provide all promiory services after receiving the formal written employment notice of the

Employee from Party A.Party A shall urge the Personnel to submit the materials for transacting the social insurance and housing fund in time after the Personnel works for Party A.If the Personnel fail to submit the materials for transacting the social insurance and housing fund in time, Party B will not undertake any responsibilities.3.Party A shall inform Party B of the change of the Employee by serving Party B with 30-day prior written

notice, failing which Party A shall be responsible for auming the corresponding liabilities arising there from.Party B will charge the Service Fees commencing from the date when Party B receives such notice.4.During the period when the Employee work for Party A, Party A will pay Party B the Monthly Service Fee

on schedule in accordance with mutual agreement.Upon receipt of the fees, Party B shall provide the services in the corresponding month.If Party A delays to pay or fails to pay in full the fees, and these cause, include but not limited, damages to Party B and Employee’s rights and interests, then, Party A shall undertake the responsibilities and result caused thereby.Party A will pay Party B the Monthly Service Fee offor each person.Such payment shall be remitted by Party A to Party B‘s bank account(Busine Department of Bank of China, Head Office, China International Intellectech Corp.a/c 00037208091014 – USD, a/c 00037208094001 – RMB)before the 15th day of each calendar month and the remittance fees shall be borne by Party A.If Party A pays in other manners, the duplicate of payment notice shall be attached.If any payment overdue for 10 days, Party A shall be obliged to pay penalty equivalent to 0.2% of the total amount of overdue payment, calculated from the eleventh day when the payment becomes overdue.Party B shall prepare the invoice in the currency of RMB according to Appendix II.If Party A pays the Monthly Fee in the currency of US Dollar, Party A shall exchange the RMB payments for US Dollar according to the central parity of the RMB traded against the US Dollar announced by the People’s Bank of China on the payment day.5.Although Party B provides HR Profeional Services, Party A is the employer of the Employee.All labor

disputes between Party A and the Employee shall be solved according to PRC Labor Law.6.Either party may serve to the other party with written comments involving the rights and interests of the

Employee and conduct negotiation in respect thereof.The other party shall reply to such comments in writing within 10 working days of receiving the same.7.The parties have agreed to strictly comply with the terms and conditions stated in this contract.Either

party that violates any provision hereof shall aume the corresponding liability for such violation.8.The parties are not allowed to disclose the contents of this contract and the matters relating to this

Contract to any third-party, except for the PRC government or as required by law.9.During the term of this contract, if the relevant new laws and regulations promulgated by the central or

local government are in contradiction with the terms and conditions hereof, the newly promulgated laws and regulations shall always prevail.10.If the purpose of signing this contract is to renew the previous version signed by the parties, the previous

version shall be invalid automatically as of the effective date of this contract.11.Party B may also provide the financial service, legal service, consulting service on social insurance

auditing/checking/handling service, consulting service on retirement and other HR agent services.Party A shall pay the relevant service fees if Party A selects the above services.12.The Monthly Service Fee, the name list of Employee, the employment period and other relevant

information relating to this contract shall be stated in the written notice iued by Party A to Party B, which should be confirmed by Party B.Such written notice shall constitute as an appendix to this contract and shall have the same legal force and effective as this contract.13.Any dispute in respect of this Contract or a violation hereof rises should be first resolved amicably by the

parties through friendly consultations.If no agreement is reached, either party is entitled to submit the dispute to the Beijing Arbitration Committee for arbitration in accordance with the arbitral rules of the said committee.The arbitration award shall be final and legally binding upon the parties.However, if any disputes is submitted to the arbitration, the parties shall continue to perform the provision of this contract that do not pertain to those under dispute, except for the provisions which are subject to arbitration.14.This contract shall become effective as of the date of its execution and shall be valid forParty A wishes to suspend or terminate this contract, Party A shall serve Party B with 30 days prior written notice.The term of this contract shall be automatically renewed if no objection to renew this contract is raised by either party 30-day prior to the date of the expiration.The extended term will be the same as the effective term of the contract.Other matters which have not been addreed in this contract shall be stated in a supplementary agreement
