附加条款:
1.如授权方确信CINEMAX频道中任何节目片段的播放可能或是将会侵害他人权益,应有权临时撤消该节目或是通知被授权方采取措施,防止这类节目的转播。
2.授权方保留未言明授予被授权方的有关CINEMAX频道的一切权利.被授权方不得录制,复制和传播CINEMAX频道节目,用于本合同以外的目的。
3.被授权方同意,对于被授权方违反协议所造成的损失,授权方将不负任何责任,同时授权方的利益将不受损害。
4.本协议一经签署,在协议的有效期内,被授权方不得提出解除协议。协议到期时,被授权方如果决定不再续签协议,必须提前至少九十天通知授权方。
5.CINEMAX频道是卫星加密频道,需要专用解码器以接收和转播。授权方同意向被授权方提供一台专用解码器。
6.本协议及其附加条款及附件,是授权方和被授权方共同达成的具有法律效力的约定,一经正式签署,双方都应严格执行。

ADDITIOINALPROVISIONS COMMENTS
1.IfLicensordetermines that the telecasting of any part of the program ofCINEMAX(theService)would infringe the rights ofothers or break applicable law,Licensor shall have the right to withdraw such program or notify Licensee of such program, whereupon Licensee shall make arrangements to prevent the transmiion of the program.2.All rights in and to the Service not exprely granted herein are reserved by Licensor, Licensee shall not record duplicate and transmit by all means or otherwise use the Service other than as specifically set forth herein.3.Licensee agrees to indemnify and hold harmle Licensor from and against all claims, costs, damages and liabilities arising from or related to any breach of the Contract by Licensee.4.After execution of the Contract and during the term of the Contract, Licensee agrees not to put forward termination of the Contract.Licensee may decide not to renew the Contract, but shall notify Licensor of the decision at least ninety days prior to the expiration of the Contract.5.The satellite signal of the Service is encrypted and that a GI DIGICIPHER II decoder is neceary for Licensee’s receipt and retransmiion thereof, Licensor agrees to make available to Licensee an above said decoder.6.This Contract and its addendum, when fully executed by both parties, shall constitute a legally binding agreement between Licensor and Licensee.LICENSOR:LICENSEE:

一.为 确 保 用 户 在 协 议 起 始 日 能 接 收 到 所 需 的 节 目，转 播 授 权 协 议 书 签 订 后，签 约 方 应 在 三 天 之 内 把 解 码 器 款 汇 至 授 权 方 指 定 的 开 户 银 行、帐 户，授 权 方 在 收 到 解 码 器 款 或 见 到 付 款 凭 证 的 传 真 件 后，应 在 一 周 内 将 解 码 器 送 至 当 地 的 管 理 部 门。
二.解 码 器 价 格：每 台4,000.00元人民币。
三.CINEMAX 节 目 单 价：
三 星 级 饭 店：14.11 元 / 月 / 房 间四、五 星 级 饭 店：8.30 元/ 月.房 间
涉 外 公 寓/ 国 际 商 业 公 司：8.30 元/ 月.房 间
涉 外 公 寓/国 际 商 业 公 司 房 间 数 不 足 75 间 的 用 户 按 75 间 计 算；76-130 间 的 用 户 按 130 间 计 算；超 过130 间 的 按 照 实 际 房 间 数 计 算。
四.收 视 费 汇 款 应 在 协 议 起 始 后 的 十 日 之 内 按 所 签 协 议 的 付 款 周 期 将 收 视 费 汇 至 指 定 银 行 帐 户，汇 款 时 请 注 明 CINEMAX 节 目 收 视 费。

五.用 户 在 签 订 转 播 授 权 协 议 书 时，请 提 供 一 份 房 间 数 量 证 明，以 确 定 其 接 收 CINEMAX 节 目 的 真 实 房 间 数 量。
Addendum:
1.In order to ensure that Licensee is able to receive the Service from the starting date of the Contract, Licensee shall remit the decoder payment into Licensor's designated bank account within three days after the contract is signed.Licensor shall send the decoder to related regional broadcasting administrate authority within one week after receiving Licensee's remittance or a copy of bank receipt of the remittance made by Licensee for the decoder.2.Price of the decoder:RMB5,200.00
3.The unit subscription fee of CINEMAX program:
Three star hotels: RMB14.11 per available room per month
Four, Five star hotels: RMB8.30 per available room per month
Foreign Housing Compounds/ Companies: RMB8.30 per available room per month The minimum room amount for each foreign housing compound and companies is75 if the room amount is from 1-75

5.Please provide a room amount confirmation to CITV while signing CINEMAX Authorization Contract.
