7.Statement and warranty clauses on omiion 7.1 Party A has never made any expre or implied representation and warranty on the completene or accuracy of the confidential materials in the above, and Party B shall review and do due diligence investigation for the confidential materials on its own.7.2 Undertakings and warranties of Party B 7.2.1 Party B undertakes and warrants that it shall not discu anything to any potential investor regarding any other known aet package, and will not provide any information or documents relevant to the marketing and transaction of the aet package to the potential investor of any known aet package, or enable any potential investor to obtain any of the confidential information.7.2.2.Party B agrees and undertakes that it has not been employed by any other potential investor.Party B or its representatives shall not collude, conspire or reach agreement with any other potential investors, corporations, entities or individuals, submit a bid that is competitive to the transaction, or avoid the submiion of bid relevant to the transaction, or reach agreement, collude, communicate or discu with any other potential investors, corporation, or individual in any direct or indirect manner to fix one or more items of price in the bid of investors or the bid of any potential investor.If Party B or any of its advisors may have already violated the above, then Party A may, at its sole discretion, terminate its consignment to Party B immediately, and nullify Party B’s qualification for doing the due diligence investigation.Translation 7.不作为之声明及保证条款

7.1 甲方从未对上述机密资料的完整性和准确性作出任何明示或暗示之陈述及保证，乙方应当独立对机密资料尽职审查。

7.2 乙方之承诺及保证

7.2.1 乙方承诺并保证，不得与任何潜在投资者商议任何其他已知的资产包，亦不得对其披露任何与该资产包之市场和交易相关的信息或文件，或允许其获取任何机密信息。

7.2.2 乙方同意并承诺并未受雇于任何潜在投资者。乙方或其代表不得与任何潜在投资者、企业、实体或个人串通、密谋或达成协议，提交对交易具有竞争力之出价，或避免提交与交易相关之出价，或与任何其他潜在投资者、企业、实体或个人以任何直接或间接的方式，就一或多项投资者或潜在投资者之出价达成协议、进行串通、沟通或协商。若乙方或其任何顾问已违反上述条款，甲方可全权决定即刻终止对乙方之委托，并取消乙方尽职审查之资格。
