Cooperation Agreement on Investment and Management

甲方：新天都国际集团有限公司

Party A: XIN TIAN DOU INTERNATIONAL GROUP LIMITED 乙方：南京恒江仓储有限公司

Party B: NANJING HENG JIANG WAREHOUSING LIMITED

甲、乙双方协商一致，在互惠互利、平等自愿的基础上订立本合同。

This agreement is entered into by both parties on the basis of mutual benefit, equity and free will.一、甲方同意乙方在甲方授权业务范围及权限范围内独立开展生产经营活动、承接业务。

I.Party A agrees that Party B independently carries out production and operational activities and undertakes busine within the busine scope and extend of competence authorized by Party A.二、乙方负责承担经营期间公司所涉及事务的一切经济和法律责任，甲方履行监管职能。

II.Party B shall aume all economic and legal responsibilities of company-related affairs during the operation period, and Party A shall execute its supervision function.三、乙方经营款项由甲方投资，乙方实行独立核算、自负盈亏。乙方在当地设立账号独立使用，甲方对该账户进行合法监管，乙方所经营相关款项必须汇入该账户，未经甲方书面授权同意不得转入其他账户。

III.Operation payment of Party B will be invested by Party A and Party B carries out independent accountability and aumes sole responsibility for its own profits or loes.Party B shall establish an account for independent usage in local area and Party A will conduct legal supervision against such account.All payments related operation of Party B shall be transferred into such account and shall not be transferred into any other accounts without written authorization and consent of Party A.四、协议期限

IV.Agreement Term1、协议期限：壹年（自2017年1月1日至2017年12月31日）。1.Agreement term: one(1)year(from Jan.1st, 2017 to Dec.31st, 2017).2、根据法律规定或本协议书约定，提前解除或终⽌协议书履行的，不受上述期限的限制。/ 4 2.An advance termination in accordance with laws or provisions shall not be subject to the said term.五、管理费及缴纳时间

V.Management Fee and Payment Time1、乙方保底管理费暂定壹仟零贰拾万元/年（￥1020万元/年），每月10日前乙方支付甲方人民币捌拾伍万元整（￥85万元/月）； 1.The minimum management expense of Party B is temporarily set at CNY TEN POINT TWO MILLION yuan per year(10,200,000 yuan per year).Party B shall effect a payment of CNY EIGHT HUNDRED AND FIFTY THOUSAND yuan to Party A prior to 10th of each month(850,000 yuan per month).2、年度结束后经核算乙方年产值在贰仟万元以下，则乙方仅需缴纳甲方第1条相关款项；如年度结束后经核算乙方年产值在2000万元以上，则净利润甲方占60%，乙方占40%，该款项在每年度结束后30日内结算付清。

2.In case that annual output value of Party B is calculated as a figure lower than TEN MILLION yuan upon the end of a year, Party B will only effect related payments of Article 1 of Party A;Where such figure is higher than TWENTY MILLION yuan, Party A will take 60% of the net margin while Party B takes 40%.Such payment shall be fully effected within 30 days after the end of each year.六、双方权利义务

VI.Rights and Obligations of the Parties1、甲方负责必要的乙方投资款的及时注入。

1.Party A shall be responsible for timely injection of neceary investment funds of Party B.2、所有正式合同必须由甲方审核后予以签订，并将合同原件交甲方一份备案归档。乙方应严格遵守甲方合同管理相关规定。

2.All official contracts shall be firstly verified before signed and one original of such contracts shall be submitted to Party A to serve the purpose of filing and reference.Party B shall strictly conform to regulations of contract management of Party A.3、乙方不得私自对外开展担保、抵押等行为，必须经过甲方书面认可，否则由此引起的一切经济纠纷和法律责任全部由乙方承担。3.Party B shall not privately carry out such activities as warranty and mortgage without written consent of Party A, or otherwise all economic disputes and legal liabilities occurred thereby shall be solely aumed by Party B.4、乙方的财产、商誉、企业品牌等所有资产，其所有权归甲方。乙方有权自支配所获利润。

4.All such aets as property, goodwill and corporate brands of Party B/ 4 shall vest in Party A.Party B has the right, at its own discretion, to deal with its margin.5、乙方履约期间，必须及时结清相关债权、债务，如乙方的赊欠问题导致司法部门冻结乙方帐户，全部损失由乙方负责。乙方必须保证在七天内解冻，逾期乙方除归还账款及利息外，还应按冻结款数的1%/月向甲方支付违约金。

5.Party B shall timely settle all related rights of credit and debts during its performance period.Where any debt iue of Party B causes according Ministry of Justice to block its account, all loes shall be aumed by Party B.Party B shall guarantee that such account will be unblocked within seven(7)days.In case of any delay, Party B shall pay the penalty to Party A at the rate of 1%/month of the blocked amount, as well as return the credit and any interest.七、人员任命

VII.Personnel Appointment 甲方同意乙方聘任李忠为总经理，全面负责乙方的工作。

Party A agrees that Party B appoints LI ZHONG as the General Manager with a sole responsibility for the work of Party B.八、其他 VIII.Others1、本协议书约定期限满前60日内，双方协商续约。若双方不再续签协议，乙方应当于本协议书约定的期满前10日内无条件向甲方办理移交手续，同时对财务帐目进行清算，清算费由乙方承担。1.Both parties shall negotiate about renewal within 60 days prior to the agreed expiration of the agreement.Should both parties will not extend the agreement, Party B shall unconditionally conduct handover procedure to Party A and, at its own expense, carry out settlement of financial accounts, within 10 days prior to the agreed expiration thereof.2、乙方严重违反协议约定，甲方有权终止协议履行。乙方无故单方终止合同，需赔偿甲方对乙方投资的经济损失，并继续承担终止前的经济活动中的一切经济、法律及相关责任。

2.In case of a serious violation against the agreement of Party B, Party A is entitled to terminate its performance thereof.Where Party B unilaterally terminates the agreement without a proper reason, it shall compensate Party A for any economic lo arise from such party’s investment in Party B, and shall aume all economic, legal and other related liabilities during economic activities prior to such termination.3、其他围绕本协议履行所涉及的相关补充合同、协议以及甲方的内部管理制度、文件决议、决定均构成本协议书的附件，对双方均具有约束力。

3.All other supplemental contracts and agreements, and internal/ 4 management system, documents, resolutions and decisions of Party A related to performance thereof shall constitute attachments thereof and be binding upon both parties.九、本协议在执行过程中，未尽事宜，双方协商解决，如协商未决，双方同意依法解决。

IX.All pending iues during execution thereof shall be settled by negotiations of the parties, where such negotiations fail, both parties agree on lawful resolution.十、本协议经双方签字盖章后生效实施，本协议书⼀式叁份，甲方执贰份，乙方壹份。

X.The agreement shall come into effect upon signatures and seals of both parties.It is prepared in triplicate with two(2)for Party A and one(1)for Party B.甲方（盖章）：乙方（签章）：
