This Training Agreement(this “Agreement”)is _(hereafter referred to as the “Employee”)and(hereafter referred to as the “Company” or the “Employer”)concerning the overseas training or company sponsored education, hereafter referred as(the “Program”)for the Employee.本培训协议(“本协议”)由(以下称“雇员”)与公司(以下称“公司”或“雇主”)为雇员参加海外培训或公司出资的教育培训(以下称“项目”)而签订。

权利和义务
In consideration of the Program, provided or sponsored by Company to Employee as detailed above and any fees, travel costs, allowances, or other moneys which may be paid by Company in connection with the said Program, Employee agrees: 作为公司向雇员提供上述项目,并为项目支付费用、差旅费、补贴或其他支出的对价,雇员同意:
a)to use his/her best endeavors to complete the Program succefully and pa all required aements and/or examinations;尽最大努力成功完成项目并通过所有必要的测试;
b)to continue in the service of Company for a period of not le than the duration of
year(s)period, hereafter referred as(the “Service Period”)starting from the date of completion of the Program.继续为公司服务不低于年的时间(从项目完成之日起算,下称“服务期”);
c)to compensate Company for the portion of the cost of the Program allocable to the unperformed part of the Service Period in accordance with Clause 22 of the Labor Contract Law, if Employee leaves the Company due to his/her personal reason during the Service Period that included but not limited to resignation by the Employee or the termination initiated by the Company in according to Clause 39 of Labor Contract Law(collectively referred to as “Termination of Employment”)when the Employee: 如果雇员在服务期内因其自身原因离开公司,包括但不限于雇员辞职或在下列情况下公司依照《劳动合同法》第39条终止对雇员的聘用(以下统称“聘任终止”),雇员应按照《劳动合同法》第22条的规定,支付公司相当于其未履行的服务期所应分担的培训费用的违约金:
(1)Materially breaches the Employer’s rules and regulations;
雇员严重违反公司的规章制度;
(2)Commits serious dereliction of duty or practices graft, causing substantial damage to

雇员严重失职、营私舞弊,给公司造成重大损失;
(3)has established an employment relationship with another employer which materially affects the completion of his/her tasks with the Employer, or the Employee refuses make rectification after the same is brought to his/her attention by the Employer;
雇员同时与其他单位建立劳动关系,对完成公司的工作任务造成严重影响,或经公司提出,拒不改正;
(4)causes the employment contract to be invalid due to the circumstance specified in Clause 26.1(1)of the Labor Contract Law;
雇员因《劳动合同法》第26条第一款第一项规定的情形致使双方的劳动合同无效;
(5)is charged with criminal liability in accordance with the law.雇员依法被追究刑事责任。
d)to compensate Company for 100% of the cost that should be charged by the training provider for the training courses that Employee has taken in case of Termination of Employment as stated in Item(c)above during the Program period;如果在培训期间发生(c)项规定的“聘用终止”情形,雇员应全额赔偿公司为其已参加的培训课程所应支付给培训提供商的培训费用。
This Agreement is made in both English and Chinese.The English version shall prevail in case of any variance between the two versions.本协议以中英文书就。若两文本存在不一致,以中文为准。
This Agreement shall become effective upon execution of both parties.本协议一经双方签署即生效力。
