设备技术服务协议

TECHNICAL AGREEMENT

BUYER:LIAOING JINBANG ELECTRIC CO.,LTD

买方: 辽宁锦榜电气有限公司

SELLER: HACO(NINGBO)INTERNATIONAL TRADING CO.,LTD

卖方：哈科（宁波）国际贸易有限公司

经上述买卖双方协商一致，就合同号JBSB-20101214-1内涉及的所有设备，签定技术服务协议如下：

Related the machinery of the contract No.JBSB-20101214-1, both parties make the agreement as following:

1)Real time service through the Teleservice module during normal working hours aoon as an eventual problem arise.Maximum within 24 hours

在正常工作日, 问题发生后, 可通过远程服务器实时服务, 反应最多不超过24小时.2)Send a technician from our representative office in Ningbo office within 48 hours.48小时之内, 从我们宁波办事处派遣一位技术人员.3)In case of major problems to send a technician from our premises in Europe headquater into the shortest poible time in any case no more then 4 working days from the event notification.如果问题严重, 在最短时间内, 但无论如何在收到通知后不超过4个工作日,从欧洲总部派遣人员.二.质保期

WITHIN WARRANTY

1.1 设备质保期为设备最终验收后12个月内

The warranty period shall be 12 months counting from the date of final acceptance at customer factory of this contract commodity

1.2 在质保期内，卖方为机床本身的质量问题提供免费的维修和配件供应。The seller shall, in the guarantee period, provide the buyer quality maintain servicingfor free of charge, including manual work and parts.三.维修期

out of warranty

超过上述质保期以后，卖方为买方提供设备终身维修期。维修期内，卖方向买方收取维修的人工费用和零配件的成本费用。

When the warranty period is exceeded, the seller shall provide the buyer quality maintain service for all life of the machine.However, the seller is entitled to charge for manual work and cost of parts

2.1 人工费用包括但不限于：技术人员的技术服务费用每天800元、交通费、食宿费等。Labour costs,including but not limited to : 800 RMB per day of service fee ,transportation fee and also accommodation.2.2 零配件的成本费用包括但不限于：零配件本身的价值、增值税、关税、运输费等。Parts cost included but not limited to: the parts value, VAT, tariff, transportation, insurance, etc.三、下列原因不属于质保期内设备的保修范围

The followings causations are not belong to quality guarantee.3.1 因买方违反操作指南中的操作规程和设备所需要的环境所导致的损坏；The damage is caused by contravention of the operation manual and/or appropriate environment which the machine requests.3.2 刀具、锯片等损耗品；

wearing part such as the tools and blades

3.3 在质保期内买方让其他未经卖方授权的单位或个人进行维修
