本佣金协议书于2011年*月*由双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：This Commiion Agreement(“Agreement”)is between the parties concerned on the basis of equality and mutual benefit to develop busine on terms and conditions mutually agreed upon as follow: In consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

2.委任
Appointment
甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。
The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers.3.双方的职责
Duties of two parties:
(1)甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在?天内提供产品报价单给甲方（若遇特殊情况和不可抗拒力因素除外）。
Party A shall be submitted to the procurement busine needed to party b detailed inquiry sheet, such as material, size, quantity, quality and other concrete requirements, party b shall provide products within ?days of quotation to party a(if there is a special situation and irresistible force factors except).(2)甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。
Party A direct order to party B, party B solely responsible for receiving order to delivery service from.Include looking for party a need samples and items, for party A sampling, inspection, delivery and other matters.(3)乙方应保证所采购产品的合法性以及保证产品符合订单的要求。
Party B shall ensure that purchased product legitimacy and ensure the products meet orders requirements.4.佣金的计算、给付方式、给付时间：
COMMISSION
甲方同意按照每笔采购发票总金额的------%支付佣金给乙方，在出货后的？？天内汇入乙方指定银行。
For the Purchasing Agent's services, the Party A shall pay the Party B the following commiion percentage within ?? days : ________ % of Part B’s each purchasing aggregate amount of the invoice value against the shipments effected.Commiion should be remitted to Party B’s referring bank.5.费用
以下费用由甲方承担
EXPENSES:As part of the compensation to the Party B, the Party B shall also be reimbursed for the following expenses:
6.违约责任
甲方若不按本合同第4条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。Party A if not in this agreement and article 4, execution of expired day shall pay party B overdue fine, fine for delaying payment coefficient for: the total commiion 5‰/ day.7.协议的修改
Modification
此协议书只有经双方共同签字后才能作修改，This Agreement may not be modified except by amendment reduced to writing and signed by both Parties.No waiver of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.8.不可抗力
Force Majeure
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing
as soon as poible and thereafter send a certificate of the event iued by the relevant authorities to the other party within 15 days after its occurrence.9.仲裁
Arbitration
因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。
All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commiion(Beijing)and the rules of this Commiion shall be applied.The award of the arbitration shall be final and binding upon both parties.Arbitration fees shall be borne by the losing party, unle otherwise awarded.10.协议有效期
Validity of Agreement
本协议经有关双方如期签署后生效，有效期为 年，从 年 月 日到年 月日。
This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unle notice in writing is given to the contrary.11.协议的终止
Termination
在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。
During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.12.本协议于 年 月 日在哈尔滨签订，一式两份，双方各执一份。佣金协议应与采购订单同时具备才能生效，传真件具有同等效力。
